Job purpose
This position is responsible for leading and participating in all aspects of the Company’s compliance and
ethics program, including anti-corruption compliance and reporting to the company’s executive
management team and board of directors. Responsible for the promotion of an on-going culture of
compliance and prevention of illegal and unethical conduct and to manage risk in accordance with
applicable policies and laws. This position will be responsible for setting policies and practices across our
global footprint. Key Accountabilities
1. Develop overall compliance strategy for the company and provide advice to the board of directors
and senior management on compliance and ethics matters
2. Partner with finance, internal audit, and other stakeholders (at HQ and each of the operations across
the world) to develop, implement and/or review the Company’s global compliance policies and
procedures to ensure continued compliance and identify potential areas of risk with laws, anticorruption,
unethical
or
improper
conduct.
Develop
and
disseminate
corporate
ethics
statements,
policies
and
supporting
forms
/ acknowledgements.
3. Create, manage and supervise a global team of ethics officers/champions in
countries/regions/operations
4. Provide an internal review of corporate policies to ensure corporate consistency and integration with
the corporation’s ethics philosophies. Integrate the corporate ethics message throughout the corporate
culture.
5. Oversee the development and implementation of corporate ethics, anti-corruption and conflict-ofinterest
training
and
conduct
ethical
decision-making
training
for
senior
management
on
ethics
issues
and
how
to
avoid
conflicts
of
interest.
6. Promptly conduct investigations pursuant to complaints and allegations of ethical wrongdoing or
conflicts of interest. Prepare written investigative reports as necessary. Ensure that any alleged financial
fraud is immediately reported to the company’s Audit Committee
7. In conjunction with legal counsel, conduct annual corporate governance audits to determine the state
of the corporation and present findings to superiors. Corporate audits will include risk minimization with
respect to issues that lend themselves to identity theft and the corporate mission of minimization of
employee data required to be maintained by the organization.
8. Develop and maintain confidential procedures for the handling and processing of complaints and
allegations. Provide processes for the confidential hearing of employee issues related to the ethics or
conflicts, including hotline calls
9. Maintain an up-to-date knowledge and understanding of corporate governance requirements,
compliance and reporting responsibilities, and related legal benchmarks from federal and state law.
10. Promote (a) use of the compliance hotline; (b) heightened awareness of the Code of Business
Conduct and Anti-Corruption Policies; and (c) understanding of new and existing compliance issues and
related policies and procedures. Initiate periodic audits as necessary to monitor overall compliance with
applicable policies and procedures
